Terms of Service

The terms governing use of HealthFlow, the operating system for diagnostic centres, clinics and pharmacies.

These Terms of Service ("Terms") are a legal agreement between you and HealthFlow ("HealthFlow", "we", "us") governing your access to and use of the HealthFlow software, websites and related services (the "Service"). By creating an account, accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

01 The Service

HealthFlow provides software that helps diagnostic centres, clinics and pharmacies run their operations, generate and manage reports and bills, and communicate with their patients, including over WhatsApp. We may add, change or remove features over time. The Service is intended for use by healthcare businesses and their authorised staff, not by patients as independent account holders.


02 Accounts & security

  • You must provide accurate information and keep your account details up to date.
  • You are responsible for safeguarding your login credentials and for all activity under your account.
  • You must promptly notify us of any unauthorised use or security incident.
  • You must be authorised to act on behalf of the Clinic whose account you use.

03 Clinics & patients

Where a Clinic uses the Service to process patient information, the Clinic is the data controller of that information and HealthFlow acts as a data processor on the Clinic's behalf. The Clinic is responsible for:

  • Having a lawful basis and any necessary consents to collect and process patient information and to message patients, including via WhatsApp.
  • The accuracy and clinical validity of the reports, results and communications it produces using the Service.
  • Complying with the laws and professional standards that apply to its practice.
HealthFlow is a software tool. It does not provide medical advice, diagnosis or treatment, and it is not a substitute for professional clinical judgement.

04 Acceptable use

You agree not to:

  • Use the Service unlawfully, or to send spam, deceptive, harassing or unsolicited messages.
  • Upload content you do not have the right to use, or that infringes others' rights.
  • Attempt to breach, probe or disrupt the security or integrity of the Service.
  • Reverse engineer, resell or misrepresent the Service except as expressly permitted.
  • Use the Service to process data of individuals without a lawful basis to do so.

05 WhatsApp messaging

The Service can send messages to patients through the WhatsApp Business Platform provided by Meta. Your use of that channel must comply with the WhatsApp Business Messaging Policy and applicable Meta terms. You are responsible for ensuring recipients expect your messages and for honouring opt-out requests. We may suspend messaging that violates these policies or that we reasonably believe is abusive.


06 Fees & billing

Access to the Service may be subject to subscription fees agreed with you. Unless otherwise agreed, fees are billed in advance, are exclusive of applicable taxes, and are non-refundable except where required by law. We will give reasonable notice of any change to recurring fees. Non-payment may result in suspension or termination of access.


07 Intellectual property

The Service, including its software, design and branding, is owned by HealthFlow and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of the data and content you and your patients provide ("Your Content"), and you grant us the rights needed to host and process Your Content to provide the Service.


08 Data & privacy

Our handling of personal information is described in our Privacy Policy, and deletion requests are handled per our Data Deletion Instructions. By using the Service you acknowledge those documents. We apply appropriate technical and organisational measures to protect data, but no system is perfectly secure.


09 Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free or that it will meet every requirement.


10 Limitation of liability

To the maximum extent permitted by law, HealthFlow will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising from your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the fees you paid to us for the Service in the twelve months before the event giving rise to the claim.


11 Term & termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, or where required by law. On termination we will handle your data in line with our Privacy Policy and applicable law.


12 Governing law

These Terms are governed by the laws of India. Subject to applicable law, the courts at Hyderabad, Telangana, India will have jurisdiction over any dispute arising out of or relating to these Terms or the Service.


13 Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
